Terms of Service

1. Acceptance of Terms

By accessing or using the MyCyPay website (www.mycypay.com) or the MyCyPay payroll platform (collectively the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you must not use the Service.

2. Service Provider

The Service is provided by DTS Services Ltd, a company incorporated in Cyprus (HE ______), with its registered office at 4 Naxou Street, 1st Floor, Office 101, Nicosia 1070, Cyprus ("MyCyPay", "we", "us", "our").

3. Description of Service

MyCyPay is a cloud-based payroll management system designed for companies and accounting firms operating in the Republic of Cyprus. The Service includes:

  • Automated payroll calculation compliant with Cyprus Social Insurance (YKA), GESY, and income tax (PAYE) legislation;
  • Generation of IR forms (IR7, IR59, IR61, IR63) and TaxisNet XML exports;
  • SEPA bank payment file generation;
  • Employee and employer self-service portals;
  • Leave and attendance management (where enabled).

We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable prior notice.

4. Account Registration

To use the Service you must register an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • All activity that occurs under your account;
  • Notifying us immediately at [email protected] if you suspect unauthorised access.

Accounts may not be shared or transferred without our prior written consent. We reserve the right to suspend accounts that we reasonably suspect of unauthorised use.

5. Subscription Plans & Payment

5.1 Free (Startup) Plan

The free plan allows up to 1 employer entity and up to 3 employees at no charge. It is provided "as is" without any service-level guarantee.

5.2 Enterprise Plan

Enterprise plans are priced on a custom basis depending on the number of employees, employers, and required features. Pricing and payment terms are agreed in a separate Order Form or Service Agreement.

5.3 Invoicing & Late Payment

Invoices are issued monthly or annually as agreed. Unpaid invoices that are more than 14 days overdue may result in suspension of access. Interest on overdue amounts accrues at the statutory rate under Cyprus law.

5.4 Taxes

All fees are exclusive of VAT. Where applicable, Cyprus VAT at the prevailing rate will be added to invoices.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable Cyprus or EU law;
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure;
  • Introduce malware, viruses, or any harmful code;
  • Reverse-engineer, decompile, or disassemble the Service;
  • Resell or sublicense access to the Service without our written consent;
  • Submit false or misleading data, including fraudulent payroll information.

7. Data Ownership & Processing

You retain ownership of all payroll and employee data you input into the Service ("Customer Data"). By using the Service, you grant MyCyPay a limited, non-exclusive licence to process Customer Data solely to provide and improve the Service.

MyCyPay acts as a data processor on your behalf (as data controller) for employee personal data, in accordance with our Privacy Policy and applicable GDPR requirements. A Data Processing Agreement (DPA) is available on request.

You are responsible for ensuring you have a lawful basis to provide employee personal data to MyCyPay and that your employees have been informed in accordance with GDPR Art. 13–14.

8. Accuracy of Calculations

MyCyPay strives to keep all Social Insurance, GESY, and tax rate tables current with Cyprus legislation. However:

  • It is your responsibility to verify that payroll calculations comply with the specific circumstances of each employee;
  • MyCyPay does not provide legal, tax, or accounting advice;
  • You should consult a qualified Cyprus accountant or tax adviser for complex payroll situations.

We will endeavour to update the Service within a reasonable time following any change to Cyprus law, but we do not guarantee that updates will be available before the effective date of any legislative change.

9. Intellectual Property

All software, algorithms, designs, trademarks, and content comprising the MyCyPay Service are the exclusive property of DTS Services Ltd or its licensors. Nothing in these Terms grants you any ownership rights in the Service.

You may not use the MyCyPay name, logo, or any trademarks without our prior written consent.

10. Availability & Maintenance

We aim to provide the Service with 99% monthly uptime, excluding scheduled maintenance windows. Scheduled maintenance will be notified at least 24 hours in advance. We are not liable for unavailability caused by factors outside our reasonable control (force majeure, third-party outages, etc.).

11. Limitation of Liability

To the maximum extent permitted by Cyprus law, MyCyPay's total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.

MyCyPay shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify and hold harmless MyCyPay, its directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your breach of any applicable law; or (c) any dispute between you and your employees regarding payroll.

13. Termination

Either party may terminate a paid subscription by giving 30 days' written notice. We may terminate or suspend your access immediately if you materially breach these Terms, become insolvent, or misuse the Service.

Upon termination, you may request an export of your Customer Data within 30 days. After that period, data will be deleted subject to our legal retention obligations (see Privacy Policy §7).

14. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Cyprus. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nicosia, Cyprus.

Before commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute within 30 days through direct negotiation.

15. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
